There are more than forty free zones across the UAE, and every one of them will tell you it is the right choice. They differ on the activities they licence, the visa allocation they include, what they charge at renewal, whether they require an office upgrade once you pass a certain headcount, and — the factor almost nobody mentions in the brochure — how readily banks onboard companies registered there.
This guide walks through what the formation process actually involves, and what to compare before you commit to a zone rather than after.
Why founders choose a free zone
- 100% foreign ownership, with no local partner requirement at any point
- Full repatriation of capital and profits
- Licence packages that bundle a registered address, so no separate tenancy is needed
- Faster issuance than mainland formation — often a few working days once documents are complete
- Customs treatment that suits import, re-export and international trade models
The trade-off you need to understand first
A free zone company sells freely to customers outside the UAE and to other free zone entities. Supplying the UAE mainland market normally requires a mainland distributor, a mainland branch, or a dual licence where the zone offers one. If most of your expected revenue comes from UAE-based customers, a mainland licence is usually the better structure even though it costs more to establish.
The question that decides it
Where will your invoices be paid from? If the answer is mostly UAE companies and consumers, start the mainland conversation. If it is mostly overseas clients or other free zone entities, a free zone licence is likely the efficient answer.
Step by step
- Confirm your business activity. The activity list you licence determines which zones are even available to you, and adding an activity later costs an amendment fee.
- Shortlist zones on total cost, not headline cost. Compare the three-year figure including renewal, visa costs and any mandatory facility upgrade.
- Reserve your trade name. Names are subject to naming conventions — abbreviations of personal names and references to religion or government bodies are generally refused.
- Submit the incorporation application with passport copies, photographs, proof of address and, for regulated activities, a short business plan.
- Sign the incorporation documents and the facility agreement, then settle the package fee.
- Receive your trade licence, share certificate and establishment card, then open your immigration file so visas can be processed.
What to budget for beyond the licence
- Residence visas — each carries government fees, medical screening and Emirates ID costs on top of the licence
- The establishment and immigration card, without which no visa can be processed
- Corporate bank account minimum balance, which is a working capital commitment rather than a fee
- Corporate tax and, where you cross the threshold, VAT registration and ongoing filing
- Annual renewal, which is not always the same figure as year one
Banking: plan it before you incorporate, not after
The most common way a free zone setup goes wrong is that the company is registered in a zone the client's preferred bank is not currently onboarding, and the account application stalls for months. Bank appetite varies by zone, by activity and by shareholder nationality, and it changes. Choosing the zone with the banking route in mind costs nothing extra at formation and saves a great deal afterwards.
Do free zone companies pay corporate tax?
They are within scope of the corporate tax regime and must register and file. A qualifying free zone person that meets the substance requirements and earns qualifying income may apply a 0% rate to that income, with non-qualifying income taxed at the standard rate. This is a test to be met and evidenced each year, not an exemption that comes attached to the licence — so it is worth assessing your position at setup rather than at your first filing deadline.
